A. Company Secretary Services

Under Tanzania's Companies Act, companies are generally required to have a company secretary, except for limited liability single-shareholder companies. Public company secretaries are also subject to specified professional qualification requirements.

BRELA's company registration system supports annual returns, changes to company particulars, and other compliance filings, while Tanzania also requires companies to maintain and submit prescribed beneficial ownership information.
Meeting Services: Attendance at Board and Shareholder Meetings
We provide comprehensive support before, during, and after Board, committee, and shareholder meetings. Our services include:
- Coordinating with management in preparation for meetings
- Drafting and finalizing meeting notices and agendas
- Preparing notices, proxy forms, and related documentation for Annual General Meetings, Extraordinary or Special General Meetings, and other shareholder meetings

B. Business Registration

C. Local Representation for Foreign Companies
We provide local representation and registered-office support to foreign companies establishing or maintaining business operations in Tanzania.
Our services may include supporting the appointment and administration of persons authorized to receive official communications or represent the foreign company locally, maintaining relevant corporate records, and assisting with required filings and regulatory correspondence.
Tanzania's Companies Act specifically provides for foreign companies to notify the Registrar of persons authorized to accept service or represent the company in Tanzania, as well as details of their local place of business.
D. Company De-registration or Dissolution
Where shareholders decide to discontinue business operations, we provide professional support through the applicable company closure, de-registration, striking-off, or dissolution process.
Our services include reviewing the company's compliance position, preparing the necessary corporate resolutions and supporting documentation, facilitating required filings with the relevant authorities, and following up on the process through to completion, subject to applicable legal and regulatory requirements.
For foreign companies that cease to maintain a place of business in Tanzania, the Companies Act provides for notification to the Registrar and subsequent removal from the register in accordance with the prescribed process.
E. Corporate Governance and Advisory Services
